The Transaction Services practice is seeking Managers who will be fully dedicated to providing acquisition and other transaction related services to financial and strategic buyers. The services typically provided include enhanced due diligence for both buy side and sell side transactions, transaction structuring for tax and accounting issues (which involve purchase vs. pooling, goodwill recognition, and off balance sheet issues), technical accounting consulting (consequences for purchase asset vs. stock, types of entities going forward, debt placement), post transaction integration services, analyze potential cost savings/reductions, assistance with target company's implementation of acquiring company's accounting policies and any other related project management/analyses, negotiation support assistance and general advisory including acquisition strategy formulation and financial modeling. The due diligence consists of investigating target company's background, history and industry, analyze management, employees and corporate culture, analyze quality of earnings, assets and cash flows, evaluate integrity of financial information, review and uncover employee benefit issues, evaluate tax exposures and review management information systems (MIS).
REQUIREMENTS
Education Requirement:
BA/B.S. in Accounting, CPAEssential Requirements:
CPA. Five plus years prior experience in accounting and auditing or combination of accounting/auditing and industry experience. Individuals with solid technical skills, detailed working knowledge of GAAP and SEC requirements, particularly in the area of business combinations. Must have good business sense and able to analyze complex business transaction situations to identify key elements and issues that are important to reach sound conclusions. Must be a creative thinker to develop alternate solutions while satisfying stated business objectives. Flexibility and willingness to travel (approximately 30% - 50%) both domestically and internationally.
