Senior Director - Licensing & Contracts
Reporting to the Vice-President, Global Licensing and Contracts, this position is responsible for the creation, review, negotiation, management and operation of the contracts and contract process for Standard & Poor's / McGraw-Hill's data, information, software and analytical products. The position works with the various McGraw-Hill / Standard & Poor's functions, including tax, compliance, senior management, product management, finance, legal, sales and other groups to create policy and standardize procedures and documentation to ensure a consistent and efficient licensing and contract process that conforms to then current business needs and legal requirements, on a global segment wide level. .
A. Responsible for management and operation of the contract needs for business units within S&P
and/or McGraw-Hill.
B. Manage and provide guidance to the Department's licensing attorneys (2 positions at MPE 20-21)
and other staff in, among other things, establishing an understanding of legal and business issues and ensuring protection of Standard & Poor's intellectual property and limiting Standard & Poor's/McGraw-Hill's liability.
C. Develop and maintain boilerplate/ standard forms for all products supported by position
D. Supervise the contract operations functions as they relate to the business units supported by
position.
E. Responsible for enforcement of GL&C-wide policies and procedures.
F. Work with personnel and counterparts in other regions to ensure that contract process is consistent on
an GL&C-wide basis.
G. Leverage technology in performance of position; use of GL&C applications in order to obtain
important metrics, reporting and reach, including the contract database and the contract website.
H. Manage and administer the due diligence activities with respect to contract review related to
acquisitions and divestitures and other projects as needed.
I. Special projects as assigned by Vice President, Global Licensing & Contracts.
REQUIREMENTS
The prudent licensing of S&P's assets requires that the incumbent have a good working knowledge of contract law, especially with respect to the protection of copyright and other proprietary rights, warranties, indemnification, disclaimer of liability and information reuse provisions. Incumbent must have excellent interpersonal and organizational skills, communicate effectively at all levels of management within S&P/McGraw-Hill and customer firms and the ability to think outside the box in order to provide solutions. Incumbent must also keep current with the industry trends and practices, with technology applications and techniques; and with competitors and S&P's customer base. Incumbent must have some experience managing personnel. Legal degree and licensing, financial services or related experience are required
