Senior Attorney - Securities/Fiduciary Matters

Description: Works with representatives from various company departments, subsidiaries, and affiliates (the “Company”) on developing and modifying practices and procedures to conform with legal requirements.Drafts, reviews, and revises a variety of instruments involving the company’s interests and businesses. Coordinates the activities of outside legal firms. Makes strategic legal decisions on how matters should be handled. Represents the company in legal and regulatory matters. Keeps abreast of laws, regulations, and other legal developments affecting the company in his/her area of substantive expertise. Confers with company officers, clients, and other legal counsel on a wide variety of significant legal matters.Demonstrates the highest standard of trustworthy and ethical behavior at all times. Understands the structure, operations and objectives of internal business clients. Assists colleagues within the Legal Department on projects and matters both within and without his/her area of substantive expertise. Is a valuable resource and trusted advisor to the company and the company’s businesses. Involves decision-making that has substantial impact on the company and the company’s businesses. Has the authority to delegate matters to more junior attorneys.Exercises judgment on the basis of experience, individual functions and area of expertise. Typically makes decisions without consulting higher-level authority, though they generally discuss complex, unusual situations with their superiors. Makes recommendations (including offering creative alternative solutions) that balance potential legal risks and business objectives.Leads project teams both within the Legal Department and company-wide. Makes presentations and provides advice and recommendations to appropriate decision-makers.Proactively identifies significant legal risks and legal and related business processes that need improvement. Acts as a leader both within the Legal Department and Company-wide. Builds effective relationships and manages resources effectively. Performs additional tasks as required.Does considerable short-term planning, coordinating, and budgeting. Reviews work as necessary and deals with difficult problems. Participates in Legal Department management and budgeting.
Job Requirements
Job Requirements: J.D. Degree or equivalent; admitted to practice law in a U.S. state. Minimum 10 years of law firm/legal department experience (securities and fiduciary experience preferred). Capable of providing advice and assistance on a wide variety of legal matters, specifically expertise in investment advisory, broker dealer and securities law.Management experience preferred.Demonstrates the highest standard of trustworthy and ethical behavior at all times. Understands the structure, operations and objectives of internal client’s business groups.Basic PC, word processing, internet and email skills; familiar with use of common legal research databases and search techniques
