Securities Attorney
About The Position: International Heavy Equipment Company is seeking a Securities Attorney with 5-9 years of experience in SEC 1933 & 1934 Act, Sarbanes Oxley, U.S. Federal Acquisition Regulation, and U.S. Defense Federal Acquisition Regulation. Key responsibilities include: (1) Advising on Sarbanes Oxley, NYSE listing requirements, and SEC rules and regulations, (2) Preparing 10K, 10Q, 8K, quarterly earnings releases, annual proxy statements, and filing under Section 16 for Board Members and senior executives, (3) Providing counsel to the Company’s Disclosure Compliance Committee, (4) Coordinating the Annual Meeting of Stockholders, (6) Supporting Corporate Treasury on equity and bond offerings, loan agreements, credit revolvers and facilities, shelf registration statements and other securities registrations, (7) Training employees on the Company’s Insider Trading Policy and Regulations Fair Disclosure, (8) Managing relationships with investors, serving as a liaison to corporate governance rating agencies by cultivating relationships and ensuring accurate corporate governance analyses, and (9) Monitoring corporate governance, securities and government contracts legislation and regulation. Requirements include: (1) 5-9 years of experience in SEC 1933 & 1934 Act, Sarbanes Oxley, U.S. Federal Acquisition Regulation, and U.S. Defense Federal Acquisition Regulation with a large law firm, (2) Excellent verbal and written communication skills, and (3) High attention to details, and the ability to work collaboratively.
