Legal Specialist
Job Category: Legal/Legal SpecialistGeneral Responsibilities: Prepare and/or review routine commercial agreements and amendments for Latin/American business line as directed and under supervision of commercial attorneys.
Assist Merqers and Acquisitions group with management of process and documents associated with due diligence and related tasks.
Assist in development of agent send and receive forms and maintain directory of approved forms.
Review advertising copy, including bilingual and/or copy solely in Spanish.
Assist with budget forecasting and documentation.
Provide back-up to the Manager of Share Owner Services in the area of SEC filings (Section 16 and 8-K). (Preferred)
Perform legal research as needed on matters involving negotiable instruments, privacy laws, and other areas.
Provide assistance with various legal department projects as needed.
REQUIREMENTS

Education: Bachelor’s degree or equivalent combination of work and educational experience, required. Paralegal certification, preferred.
Years of Experience: Minimum 5 years of experience providing paralegal support required, preferably in a legal department of a corporation, preferred.
Language Skills: fluency in Spanish, including reading and writing, required.
Experience in general commercial contract drafting and negotiation; demonstrated ability to effectively gather contract requirements from clients and draft clear, well written and appropriate contractual language, required. Proven ability to effectively negotiate contract language with both internal and external customers, preferred.
Excellent verbal and non-verbal communication skills. Proven ability to communicate effectively, clearly and professionally with senior management, in-house and outside legal counsel, as well as other internal and external business contacts regarding difficult and complex issues, required.
Demonstrated ability to draft clear, persuasive and professional letters, memos, and other legal and business correspondence and documents, required.
Demonstrated ability to work collaboratively and professionally with others, required.
Demonstrated ability to effectively handle multiple priorities and tasks simultaneously, required.
Demonstrated experience in organizing and tracking large volumes of data and information, required.
Demonstrated experience in SEC filings, preferred.
Demonstrated PC skills and experience in Word, Excel and ability to learn other programs, required.
Demonstrated ability to effectively complete legal research and summarize the research in a clear well written summary. Ability to perform legal research on Westlaw or through other sources, required.
Proven attention to detail and analytical skills, required.
Previous paralegal experience in a financial services organization, preferred.
Ability to take responsibility for projects and act independently within established guidelines, required. Project management experience, preferred.Special Considerations: Schedule Overtime Required 0-20%
