Corporate Staff Attorney

•Provides legal advice to the Company’s various departments.
•Responsibilities embrace a wide variety of areas including contracts, employment law, compliance, intellectual property, mergers & acquisitions, real estate, securities and litigation management.
•Drafts, reviews and negotiates agreements and counsels business units on matters relating to such agreements.
•Assists with corporate governance matters, review of SEC filings, maintenance of board and shareholder minutes and management of outside counsel.
•Reviews, documents and otherwise supports commercial transactions.
•Assists in litigation management and dispute resolution.
•Oversees and directs work functions of Legal Executive Assistant and outside counsel.
•Conducts advanced research and analysis on various aspects of law and policy.
•Monitors federal, state and local legislation for applicability to the Company.
•Stays abreast of changes in the law or legal trends.
•Participates in the development, implementation and maintenance of policies, practices and procedures for the Company’s legal department.
•Conducts training on policy issues.
REQUIREMENTS
•Must be a graduate of an accredited law school with 4+ years of general corporate experience and must be a member of a State bar in good standing.
•Solid analytical and reasoning abilities a must.
•Working knowledge of applicable laws, legal policies and practices.
•Excellent interpersonal skills.
•Superior verbal and written communication skills.
•Ability to pay attention to detail.
•Proven ability to strategically plan and achieve long-term business objectives in a time-conscious and cost-effective manner.
•Self-directed.
•Proficient in Microsoft Office software such as Word, Excel and Power Point.
•Ability to direct the work of others.
•Willingness to build existing skills.
•Organized and detail-oriented.
•Ability to multi-task in a time efficient manner.
