Contracts Specialist

Basic Function of the Job:
Assist the Contracts Manager in reviewing and negotiating Iron Mountain’s contracts with its customers and suppliers; assist the Contracts Manager in developing procedures and processes to support appropriate controls and management of contract risk; and assist in development of standard and non-standard contract language. More specifically, the following are key elements of the basic functions of the position:
a)Review, evaluate and recommend alternative contracting strategies with respect to customer requests for modifications to the company’s standard contract language. These may include contract modifications, preparation of contract amendments, and the review, negotiation and modification of fully customized forms of contracts presented by potential customers, all in accordance with company policies and procedures in effect at the time.
b)Assist in identifying procedures and in developing resources for the field and in providing contracts training to the field.
c)Assist management with contract negotiations.
d)Assist in supporting the field’s initiative in improving the quality of contracts and thereby minimizing the company’s risk and exposure; through assistance in promoting adherence to company policy relating to the Contract Repository program; and through liaison with the field and the Mergers and Acquisitions group as additional companies are acquired by the company.
5.Scope: This position provides instrumental contract support, as outlined above, for nearly 500 districts/branches and encompasses customer contracts for each of the Iron Mountain companies, as well as any future business divisions. At present there are more than 130,000 domestic customers.
6.Work Performed:
a)Assist the field in contract negotiations:
i)Reviews, as requested by field and/or corporate marketing personnel, of customer contracts, purchase orders, bid documents and any other agreements that are deviations from the company’s standard contracting terms. This requires communication and documentation of appropriate responses to the field, within pre-established policy guidelines.
ii)Reviews and assists in negotiating with customers and their legal advisors (in conjunction with sales management and/or executive management) any non-standard contracting language requirements within established policy limits, when necessary or appropriate.
iii)Drafting of appropriate standard contract forms (or revisions thereto) as required, subject to approval in accordance with departmental policy.
iv)Maintain negotiation files for customers with non-standard agreements or incorporate non-standard contract language.
v)Communicate effectively with the Contracts Manager, Risk Management and Senior Management throughout the negotiation process to secure necessary approvals with respect to non-standard requests outside of defined policy guidelines.
vi)Assist in the development of appropriate reports needed internally within the Department and as may be appropriate for departments serviced by the Legal Department.
b)Assist in enforcing adherence to the company’s Contract Repository Program for disaster recovery and risk management purposes.
c)Assist in analyzing district/company conformance to contracting procedures.
d)Assist in providing information to the company’s Internal Audit department to identify and resolve any contract issues posing risk outside the company’s established norms.
REQUIREMENTS
Qualifications Required:
a)Education: BS/BA Degree, MBA/JD preferred
b)Skills and Abilities: Read and interpret contracts; articulate a legal position consistent with established contracting guidelines; communicate and negotiate effectively; and operate a variety of PC-based software including word processing. Must have initiative, flexibility, ability to multi-task and re-prioritize work as necessary, and good interpersonal skills.
c)Prior Work Experience: 7-9 years’ work experience in a contracts specialist position with a minimum of 3 years GSA/Government contracting experience preferred. Strong experience with contract negotiations required.
d)Pre-Employment Requirements: Iron Mountain’s standard drug test.
