Contracts Analyst

Our Carol Stream Facility has an opportunity for a Contracts Analyst.

This position provides administrative support to the Contracts Management Department.

Typical responsibilities include:

1. Independently reads, analyzes and accurately synopsizes various contract clauses (e.g., effective date, term, termination, payment terms, pricing terms, freight & delivery terms, assignment, indemnity, damages, etc.) for entry into database and distribution to management.

2. Interacts with customer in a professional and diplomatic manner to resolve problems or questions related to contract interpretation.

3. Actively interfaces with sales, project management, legal, finance, engineering, product line and other internal departments to ensure correctness and continuity in the preparation of contract related documents.

4. Reviews contracts and assists Sales in the resolution of problems related to interpretation of proposal requirements and conformance with established Company policies and procedures. Provides direction and guidance to ensure that bids and proposals include the most favorable terms and conditions

5. Drafts various contracts, agreements (i.e. NDA, Rept Agrmt) and other legal documents for review by supervisor and legal department before presenting to business area managers and/or customers.

6. Coordinates with management on the creation of agreements on an as required basis.

7. Works with Contracts Department on contract related projects. Provides administrative support and maintains database in Microsoft Access.

8. Other tasks as assigned.



Percentage of time likely to be allocated to the following areas:

80% Entry of new/existing contracts into contracts database.

5% Interfacing with other departments to ensure continuity in preparation of contract related documents.

5% Reviews contracts including providing direction when needed.

5% Provides general administrative support to Contract Management team.

5% Drafts various contracts and agreements.
REQUIREMENTS
Requirements and skills needed include:

Proficiency in Access, Excel, Word and Contracts Administration experience

Analytical skills and ability to recognize and resolve issues

Solid communications and interpersonal skills

Bachelor’s degree in Business Administration, Finance or Law, or Paralegal certificate; or equivalent 4 years experience in contracts administration performing the above mentioned tasks.



Additional experience preferred but not necessary:

Experience in product contracts; distributor, wholesale, OEM, retail, etc; and sales representative agreements.

Experience in drafting and reviewing non-disclosure agreements.
