Job Description:
MAJOR PURPOSE OF POSITION
Provide day-to-day proactive and commercially sound legal counsel to upper and senior management, both domestically and internationally, in coordination with the General Counsel and judicious engagement of outside counsel in an expanding publicly traded transnational company. Address and prioritize multiple projects and meet deadlines in a dynamic environment while assuring more routine corporate compliance, governance, and reporting matters are effectively managed.
JOB FUNCTIONS
1. Management of and engagement with all aspects of legal, general corporate, administrative and operational matters, with emphasis on domestic and international sales and other commercial transactions.
2. SEC and NASDAQ reporting and compliance management including corporate governance and compliance issues including the coordination, preparation and filing of periodic reports (10-K, 10-Q, 8-K, Proxy, etc.).
3. Assist with liaison and agenda development with the Board of Directors, Committees and Sub-Committees of the Board of Directors.
4. Provide research, advice, counsel and representation while drafting, negotiating and reviewing contracts in a multi-disciplinary, inter-departmental environment.
5. Manage and coordinate outside litigation counsel in product liability, commercial, environmental, employment, and other disputes.
6. Development of corporate policies, procedures, and best practices.
7. Agility to address multiple legal issues including intellectual property (patent, trademark and copyrights), ERISA, mergers and acquisitions, international investment structures, joint ventures, licensing and royalty arrangements, risk management, employment, labor, immigration, advertising, sales and marketing compliance, antitrust, and other matters generally and specifically applicable to a publicly-traded manufacturing company.
Strong academic credentials, a Bachelors degree, and a JD degree with relevant experience with a major regional, national or international law firm and with a multinational US headquartered corporation. Must be qualified or capable of becoming qualified in Wisconsin. Language fluency helpful, but not required. US resident. Self sufficient in computer skills.
TYPE AND LENGTH OF EXPERIENCE
Minimum of [6-10] years of post law school experience including at least 3 years of law firm experience. Experience with domestic and international transactional matters.
