Reporting to and with general oversight by the chief legal officer of the division, responsible for providing general corporate work and advises management on legal implications for domestic and international business activities. This position performs a wide variety of legal activities including basic litigation matters (both defensive and offensive) as related to business operations; negotiations; drafting and review of contracts and other agreements; advertising law; regulatory and compliance issues and basic litigation aspects of other day-to-day transactions for domestic and international operations. In addition, this position would be responsible for implementing and monitoring preventive activities to ensure avoidance and/or settlement of potential legal actions.

Job Responsibilities:
1. Drafts commercial contracts and related documentation including distribution agreements, supply agreements, toll manufacturing agreements, consulting agreements, settlement agreements, license agreements, co-promotion/marketing agreements, office leases, confidentiality agreements and letters of intent.
2. Provides legal counseling on a wide variety of legal matters, including contract termination, distributorships and sales agencies, toll recalls, and advertising disputes.
3. Manages lawsuits, arbitration and governmental investigations, as assigned by the chief legal officer.
4. Conducts internal investigations involving alleged non-compliance by affiliates and/or employees with applicable laws or Wyeth's Code of Conduct as assigned.
5. Drafts intercompany contracts and documents in connection with Wyeth's Resale Minus Policy and similar corporate-wide initiatives.
6. Gives PowerPoint presentations to employees on a vareity of topics of interest abnd relevance to the business, whichmay include Wyeth's Code of Conduct and Proper Use of Internal E-mails.
7. Provides legal counseling and review on advertising and marketing materials.
8. Advises management and personnel engaged in responding to legal claims by examining legal data and coordinating proper action with local counsel and appropriate Government, civil, commercial or individual parties as directed.
9. Confers with Wyeth and local affiliate attorneys with specialty in area of lawsuit to establish and verify basis for legal proceedings.

Requirements:
Education Requirement: Law Degree from an accredited law school, licensed to practice law in at least one jurisdiction.
Other: Experience in general corporate work in contract and agreement management and litigation. Excellent academic credentials and large law firm experience preferred.
Years of Experience Required: 3-5
