Ernst & Young's Transaction Advisory Services (TAS) practice offers companies professional transaction experience. We help clients determine the right deal to do, and then assist them in doing the deal right. Within TAS, Transaction Tax services encompass the strategic development and execution of a transaction structure from a tax perspective, including executing tax due diligence, challenging assumptions about future tax performance, and assisting with the tax aspect of purchase agreements, post-closing, and other transaction tax matters.We currently have a career opportunity for a Senior in our Mergers and Acquisitions (M&A) team. The successful candidate will have general corporate tax experience with mergers and acquisitions and/or proficiency in providing tax advice for middle-market clients.Responsibilities
Maintain a vast and technical understanding of consolidations, partnerships, and corporate tax issues in the federal, international, state and local, and/or financial services area.Perform due diligence projects to provide a thorough review of corporate tax returns and financials needed to evaluate and calculate potential tax exposures. Generate financial models to reflect the current and proposed change in ownership.Create and compute financial models for the calculations of tax basis step-ups including 338 gross-ups, foreign tax credits, and potential investments. Research and draft documentation for tax-free reorganizations and roll-ups. REQUIREMENTS
Qualifications: To qualify, candidates must have: a bachelor's degree or equivalent, or a JD with a bachelor's degree in accounting a CPA, JD, or LLM a minimum of 3 years of tax consulting experience strong research and writing skills excellent analytical, supervisory and organizational skills the ability to effectively team and interact with clients and practice leaders willingness and ability to travel, when necessary
