Description
The General Counsel will oversee corporate-wide legal affairs for a 200 person fast-paced, growing avionics company with multiple branch locations. This person will work closely with Avidyne’s senior staff in a variety of areas including contracts, corporate, product integrity, compliance, employment law, intellectual property, mergers & acquisitions, securities and litigation management. This person will play a leading role in developing and monitoring the company’s intellectual property and product integrity strategies.

Responsibilities:
•Responsible for providing ongoing advice and support related to contracting activities, including the drafting, review, interpretation and negotiation of commercial standard and non-standard contracts and proposals (customer, reseller, and vendor)
•Develop legal templates and processes for new business and commercial models.
•Develop legal compliance training relating to commercial risks of doing business including product integrity.
•Work closely with marketing and engineering functions to develop and IP portfolio that will facilitate growth of company’s product and service portfolios including conducting brainstorming sessions, drafting and prosecuting patent applications, and actively managing prosecution of all key applications.
•Help to perform clearance of new product introductions, and formulate non-infringement and/or invalidity positions as necessary.
•Handles all company litigation and related matters, including analysis, strategy, preparation and legal research.
•Manages all aspects of relationships with external litigation counsel, including discovery, document production, depositions, court filings…
•Assist with corporate governance matters.
•Develop and manage outside legal counsel relationships.
•Assist with mergers & acquisitions and securities matters.

REQUIREMENTS
Essential Skills and Experience:
•Holds a Juris Doctor Degree from an accredited law school.
•8-10 years experience as a corporate/commercial attorney, including at least five-years in an in-house environment in the technology industry.
•Significant licensing/contracts negotiations experience is required
•Demonstrated knowledge & command of IP law and patent preparation and prosecution.
•Experience in handling a wide variety of IP procurement matters including formulating & implementing IP procurement strategy & procedure, reviewing invention disclosures and conducting brainstorming sessions, preparing and filing patent applications, appealing adverse patent ability decisions and initiating and assisting in interference and opposition matters.
•3-5 years of litigation experience is preferred.
•Understanding of risk and crisis management.
•Superior analytical ability; a strong general commercial law background; creativity, vision and sound judgment in developing and implementing legal solutions; excellent interpersonal skills; energy; the ability to handle multiple inquiries and assignments in a time pressured environment; and ability to deliver process-driven solutions to recurring issues.
•Strong written and oral communication skills.
•The ability to quickly identify and prioritize issues, and create solutions.
•Ability to perform duties under minimal supervision, while exercising discretion and independent judgment.
•Ability to interface with internal and external parties.
