VP, Development of $250 million in sales division of $17 billion International Corporation
POSITION SCOPE:
The individual in this position manages projects, supervises market research, advises business leaders, participates in discussions with prospective buyers and sellers of businesses, and leads project teams which gather data, develop broad strategies, and assess markets and potential investment opportunities. Uses discounted cash flow models to calculate IRR, NPV, Return on Net Assets, and other metrics for proposed and completed transactions. Performs other financial and general business projects for the VP, Development on an ad hoc basis, as required.
POSITION FUNCTIONS AND TASKS:
Working closely with senior executives and operational leaders of the company, manages the execution of the mergers, acquisitions, joint ventures, and licensing processes for the company. Duties include:
Serve as a significant resource for acquisition/JV/licensing planning and implementation and as a key advisor to the company’s leaders.
Identify and analyze areas of fit with company’s existing businesses and investment opportunities.
Develop target-screening criteria, research target companies, evaluate potential targets, and select or recommend acquisition candidates.
Initiate and/or maintain contact with prospective target companies and/or their financial representatives.
Maintain lists of buyers, sellers, and business brokers for future acquisition or divestiture activity.
Supervise or conduct financial analysis & preparation of detailed valuation models.
Lead in its entirety and/or perform aspects of due diligence on selected prospects.
Prepare and review detailed acquisition and other capital proposals and presentation materials for the senior leaders of the Company
Participate on teams which negotiate purchase and sale and other related agreements.
Coordinate cross-functional teams for full scale due diligence of acquisitions, including process management of teams of external lawyers, accountants, functional managers, consultants, etc.
Assist in development of merger or acquisition integration plans.
Assist in development of transaction structures.
Review all documents related to proposed transactions and provide feedback for improvement or clarification.
Work with line managers and engineering staff to prepare proposals and evaluation models supporting capital expenditures.

SKILL / EXPERIENCE REQUIREMENTS
MBA preferred. Five (5) or more years of experience in financial disciplines. Ideal candidate will have some M&A transaction experience. Industrial experience is preferred but not required.
TRAVEL REQUIREMENTS.
Because of the incumbent’s leadership role in the M&A process, travel is expected to be 20-30%.
