Paralegal C Skills Management Title Paralegal

Job Level: NONEXEMPTBusiness Component: Boeing World HeadquartersJob Description: This paralegal will assist attorneys by drafting contractual documents such as corporate non-disclosure agreements (NDA¿s) and other confidentiality agreements, proprietary information agreements (PIA¿s) software licenses, and other documents for attorney review. Paralegal will be expected to: investigate, research, and analyze facts and law; review documentation for compliance with company policies and procedures, and interface directly with relevant organizations to ensure such compliance; and administer complex legal matters and processes. Experience and extensive knowledge in at least one of the following areas is required; experience in and knowledge of more than one identified area is preferred: government contracts (FAR, DFAR, other transactions, CRADA, government data rights etc.), commercial contracts and intellectual property. Participates on team to periodically create and publish the department¿s government contracts newsletter. Additional paralegal responsibilities as may be required: ¿ Performs research using standard and legal applications; identifies issues and recommends solutions. Develops, maintains and manages document retention policies. Coordinates and processes communication between attorney and outside counsel; conducts factual research and due diligence with outside counsel. Works under limited supervision as follows: ¿ Performs legal and factual research utilizing specialized software (e.g., Lexis/Nexis, CourtLink, Delphion, WestLaw,) the World Wide Web, the Boeing Intranet and other legal applications to conduct and compile information related to federal, state and local regulations and case law to assess Boeing's responsibility and liability under the law in compliance with established law department procedures. Identifies issues/concerns and recommends possible solutions and/or courses of action to the responsible attorney. ¿ Drafts, reviews and revises documents (e.g., contracts, agreements, newsletter) and issues for accuracy and compliance with Boeing's policies and procedures and applicable federal, state and local laws. Identifies issues and suggests language and terms as appropriate. ¿ Acts as liaison with outside counsel to coordinate, expedite and process communication, correspondence and documentation with the outside counsel, the responsible attorney and other Boeing personnel. Ensures all oral and written communications are identified, marked and/or protected pursuant to Boeing procedures regarding control of sensitive company information. Conducts factual research and due diligence with outside counsel. (e.g., financial status, software licenses). ¿ Interviews clients to gather background information and identify issues with respect to requests for legal review. Prioritizes requests and determines the responsible attorney. Communicates legal advice as directed by the responsible attorney in accord with Boeing policies and procedures. Performs follow-up on the status of the legal requests as necessary. Competencies ? Refers to practices and procedures for guidance.Notes: Ability to obtain government-security clearance of Secret or greater is required. A positive, constructive attitude is required.
