The Transaction Services - Financial Services practice is seeking Senior Associates with banking, mortgage or insurance industry experience, who will be fully dedicated to providing acquisition and other transaction related services to financial and strategic buyers.The services typically provided include: Enhanced due diligence for both buy side and sell side transactions; Transaction structuring for tax and accounting issues; Technical accounting consulting (consequences/implications of asset/liability vs. stock purchase transactions, types of entities going forward, debt placement); Post transaction integration services - analyze potential cost savings/reductions, assistance with target company's implementation of acquiring company's accounting policies and any other related project management/analyses, negotiation support assistance and general advisory including acquisition strategy formulation and financial modeling.The due diligence consists of investigating target company's background, history and industry, analyze management, employees and corporate culture, analyze quality of earnings, assets and cash flows, evaluate integrity of financial information, review and uncover employee benefit issues, evaluate tax exposures and review management information systems (MIS).In this role, you will be looked upon as a project leader, which requires extensive interaction with fellow experts in the firm to discuss industry/subject matter (i.e. HR, tax, actuarial, regulatory and advisory).
REQUIREMENTS
Education Requirement:
BA/B.S. in Accounting.
CPA or pursuing CPA.Essential Requirements:
3+ years of prior experience in auditing and accounting or a combination of auditing and industry (mortgage, banking, insurance) experience.
Large public accounting firm audit experience is a big plus.Preferred Experience:
Accounting for Mortgage Servicing Rights (FAS 140), Hedging (FAS133), Accounting for Securities (FAS 115) or Fair Value Disclosures of Financial Instruments (FAS 107).
Working for a mortgage company in an operational role or secondary marketing, as well as, loan servicing shop.
Accounting for loan losses - methodology or models to predict or monitor loan loss and severity.
Real estate foreclosure - loss mitigation procedures, debt and derivatives and/or capital markets, including the securitization process - issuance, bond administration or tax compliance (bonds).
US GAAP and Statutory insurance accounting knowledge and familiarity with property and casualty, life, healthcare and agency/brokerage insurance industry, including actuarial concepts and reinsurance transactions.Helpful Skill Set:
Individuals with solid technical, reporting and detailed projected oriented skills are highly preferred.
Working knowledge of GAAP, SEC requirements particularly in the area of business combinations.
Good business sense and ability to analyze complex business transaction situations to identify key elements and issues that is important to reach sound conclusions.
Able to participate in a multi-disciplined, team approach environment.
Creative thinker to develop alternate solutions while satisfying stated business objectives.
Flexibility and willingness to travel (approximately 40% - 60%) both domestically and internationally.
