Stock Plan Administrator
The Stock Plan Administrator owns day-to-day and full-service stock plan administration for Agile Software Corporation. Agile Software is in search of a Stock Administration Professional ready for their next career growth step. This position reports to the Director of Corporate Human Resources and partners with the SVP of Global HR. This position is based in our corporate HQ in San Jose, CA. The Stock Plan Administrator will take point on the implementation of stock initiatives. The position will also be responsible for the administration and participation of both internal and external compensation programs. This individual must demonstrate the flexibility to manage details, own quarterly/annual processes, as well as strategically partner and work closely with members of Senior Management to achieve company goals. This position requires exceptional attention to details, in-depth stock knowledge, interpersonal, facilitation, and communication skills and a demonstrated ability to work collaboratively at all levels of the organization.
Responsibilities
- Performs full responsibilities in stock plan administration
- Administers annual stock grant process & semi-annual ESPP purchase
- Administers Global Quarterly PBC (Performance Based Compensation) bonus program
- Administers Company stock option plan, including but not limited to:
••••• Process option grants, exercises, cancellations, and terminations
••••• Produce and distribute stock option agreements, track return of signed agreements, and follow-up on outstanding documents
- Performs monthly share and option reconciliations and provides periodic reports to Accounting, Payroll, and Tax functions as necessary
- Responsible for the data input and integrity of the Equity Edge database and maintenance of all relevant paper and electronic files for the Company's stock option plan(s)
- Employee communication and education materials; answers employee questions and resolves option issue problems
- Acts as primary liaison between Company employees, transfer agent to affect timely transaction processing and to resolve issues
- Provides a high level of confidentiality and excellent customer service skills
- Maintain Board Minutes and investor files
- Due diligence projects as required
- Knowledge of securities filings (Forms 3, 4, 5); proxy preparation
- Assist with compiling information for Sarbanes Oxley testing and compliance
- Understand FAS 123R and other equity financial accounting issues
REQUIREMENTS
Required Skills
- Requires a thorough working knowledge of the basic tax, accounting, securities law, and corporate law aspects of equity compensation plans, with particular emphasis on the tax consequences to the employer and the employee
- Understanding of equity financial accounting issues highly desirable
- High degree of proficiency with Equity Edge software version 6.1
- Extensive experience with interfacing with transfer agents
- Requires strong project management, analytical, interpersonal, and team-oriented skills
- Demonstrated ability to work independently using significant discretion and judgment is essential
- Ability to prioritize and handle several projects in a fast paced environment
- Proficient in Excel and Word
Preferred Skills
- Range of experience from start-up/small companies to larger companies
Experience
- Experience working for a multinational company with a strong understanding of the accounting, tax and legal requirements of equity plans
- 5 years minimum of stock plan administration experience in ESPP and Stock Options in a global company
- Bachelor’s degree that exhibits the ability to perform critical functions of the position
- CEP level 2
- Experience with Sarbanes Oxley
Education
- Bachelor’s degree that exhibits the ability to perform critical functions of the position
- CEP level 2 certificate; within last 5 years
- CEP Level 3 preferred
