The Transaction Services (TS) Financial Due Diligence Practice in Chicago is seeking an enterprising Director who will be fully dedicated to developing and working with the team in the area of mergers & acquisitions, financial due diligence and other transaction-related services. You will have the opportunity to work closely with deal professionals and senior management from some of the largest, most sophisticated Private Equity funds and Corporate M&A departments. The client profile is in various industries and across many different facets of the M&A process.Financial due diligence consists of interviewing the executive management team of the target company; understanding the key drivers of the business and assessing the quality of the target company’s reported earnings, net assets and cash flows. TS delivers concise, deal issue-oriented reports and oral presentations to its clients which highlight the key findings from the due diligence, suggest how such findings should be incorporated into the client’s valuation and/or purchase and sale agreement, as well as provide other negotiating points.Your responsibilities would include overseeing all day-to-day aspects of a project, beginning with but not limited to determining the appropriate areas of focus for the project team; coaching the junior members of the project team on the day-to-day execution of the fieldwork; ensuring that the team identifies the key issues and other findings and that those issues/findings are communicated to the Partner and to the client. Directors also research complex accounting issues and assist with deal structuring, are responsible for reviewing the financial due diligence report written by the team to ensure that it appropriately highlights the key issues and other findings. The Director typically participates in all meetings and conference calls with target company management and with client personnel, and serves as the primary point of contact for client personnel with respect to day-to-day execution matters. Between transactions, you would be responsible for client relationship management and business development, including targeting programs for new clients, and is expected to handle multiple client and practice management projects with manager support.
REQUIREMENTS
Education Requirement:
A Bachelor's degree is required. A CPA or CA is required.Essential Requirements:
CPA licensee. Eight or more years of prior work experience in accounting and auditing/assurance or combination of accounting and auditing/assurance and industry experience. Individuals must have strong interpersonal, writing and oral communication skills, and solid technical skills and detailed working knowledge of U.S. GAAP and SEC reporting requirements, particularlyin the area of business combinations. Must have good general business sense and be able to analyze complex business and transaction situations to identify and analyze key elements and issues. Must be flexible and willing to travel (approximately 40% - 60%), both domestically and internationally.
