Brief Description:• Objectively facilitate and support the development of commercial contracts between Exel and its customers, manage the contracting process within Exel and with internal or external legal counsel, assist account teams by identifying and communicating the commercial risks of a project, and increases the awareness of commercial risks to the senior management team where and when appropriateDetailed Job Description:• Drive consistency in contractual elements of contracts throughout the business• Perform reviews of Exel and Business Unit portfolio’s, identifying and quantifying commercial and financial risk accepted
• Increase commercial knowledge and awareness throughout business
• Transfer knowledge of best and worst practice relative to commercial issues and structure
• Ensure alignment with approved project• Facilitate the escalation of commercial issues where and when appropriate
• Objectively review the implications of business and commercial decisions with focus toward achieving well-balanced commercial deals
• Central custodian of original customer contracts, ensure that all contractual elements are fully defined and documented
• Drafting and/or reviewing of the following agreements: confidentiality and non-disclosure, reimbursement and indemnity, lease assignment and assumption, operating.
• Drafting and/or reviewing of addenda and amendments (including renewal of existing business) and vendor contracts for products or services that are not supported by the Exel purchasing department and have an effect on the business risk profile
• Assist in reviews of commercial agreements identifying trends, financial risks and commercial risks accepted in contracts to provide a mapping of Exel’s business portfolio.
• Provide guidance on the negotiating strategy to the Account Team, including the manner in which the contract effects daily operations and the risk vs. reward profile of the business.• Participate in customer negotiations.
• Review of opportunity assessments; assist in proposal preparation and contractual assessments in support of account planning
• Manage the involvement and use of external legal resources with the objective of achieving balance between contractual expertise (focusing on large complex projects) and fiscal responsibility (achieved by use of internal resources and improved tools)
• Facilitate the active involvement of other functional areas (e.g. risk, property, human resources) throughout the process to ensure alignment with project and company objectives
• Facilitate the escalation of commercial issues and risks through functional and account teams
REQUIREMENTS
• Bachelor’s Degree
• 5-7 years related experience
- Strong facilitation skills
- Strong analytical skills/abilities (impact to business)
- Experience with conflict resolution
- Excellent oral and written communication skills
